By placing a wholesale order with us, you agree to the terms outlined here. If you have any questions at all, don’t hesitate to reach out — we’re always happy to help.

1. DEFINITIONS
(a) “Nine Lives Bazaar” is Nine Lives Bazaar Australia Pty Ltd.
(b) “Customer” means the company/individual who has requested the supply of goods from Nine Lives Bazaar and to whom the goods are invoiced.
(c) “orders” means all orders (online, written, or oral) placed by the Customer or its representatives for the supply of goods by Nine Lives Bazaar, which have been accepted by Nine Lives Bazaar, at its absolute discretion.
2. GENERAL
(a) This document and Nine Lives Bazaar’s order form (including orders submitted via email or hard copy), together, contains the entire agreement of the parties.
(b) The placing of an order indicates the Customer’s acceptance of the terms in this agreement.
(c) Nine Lives Bazaar may update this document and the order procedure at any time.
2. SALES
(a) Orders placed at once or after order cutoffs do not immediately guarantee stock. Customers will be notified of their final order quantities via an invoice.
(b) All orders are final, including indent orders, and cannot be canceled once Nine Lives Bazaar has provided an invoice or final order confirmation to the Customer in response to a request for the supply of goods by the Customer.
(C) Cancellations 45 days or less prior to shipping of goods will incur a 20% cancellation fee and we reserve the right to no longer provide exclusivity to customer’s store or withdraw Nine Lives Bazaar from Customer’s store.
3. PRICES, MINIMUM QUANTITIES AND EXCLUSIVITY
(a) All quotations provided for the sale of goods are based on current prices in AUD
(b) Nine Lives Bazaar does not charge a minimum order amount on first order. Subsequent orders must meet a minimum spend of $4000 per season (season cycles are a period of 3 months), unless otherwise agreed.
(c) Nine Lives Bazaar loves to work closely with our stockists and grow our brand within our stockists, however opening a Nine Lives Bazaar wholesale account does not guarantee exclusivity in your area.
(d) Nine Lives Bazaar can offer category exclusivity based on postcode or defined shopping area.
(e) To be eligible for exclusivity, Customer must meet the minimum seasonal spends consistently. Exclusivity will be reviewed seasonally.
(f) Orders over $4,000 AUD qualify for 2 free uniform pieces, you must request these at the time of placing.
4. PAYMENT TERMS
(a) Trading terms for orders are COD, we may require a 20% deposit at time of order confirmation and 80% balance due before delivery, unless otherwise agreed.
(b) At Nine Lives Bazaar’s discretion, strict 30-day terms are available for return Customer orders of over AUD$6000 (including GST, excluding freight). Customers must pay a deposit of 50% to be eligible and before stock can be packed and shipped.
(c) All at once orders, regardless of spend, are cash before delivery - payment must be made immediately.
(d) Payment is recognised when the Customer’s transfer has been cleared by Nine Lives Bazaar. Orders will not be shipped before payment is cleared.
(e) Nine Lives Bazaar reserves the right to suspend the delivery of further goods if the Customer breaches these terms.
(f) If a customer accepts terms offered under 4(b) and fails to meet the 30 day payment deadline, Nine Lives Bazaar reserves the right to refuse terms for future orders.
5. OWNERSHIP
(a) Ownership of the goods will only pass from Nine Lives Bazaar to the Customer when payment is received in full. Delivery of the goods to the Customer, whether in full or in installments, does not indicate a change of Ownership of the goods.
7. DELIVERY AND FREIGHT
(a) Australian Orders - Nine Lives Bazaar ships orders with Australia Post or Star Track. Freight is calculated and applied to the final invoice. In-stock items usually ship within 48 hours of payment being received.
(b) International Orders - Nine Lives Bazaar ships order’s via DHL. Freight is calculated and applied to the final invoice. In-stock items usually ship within 48 hours of payment being received. Customers are welcome to organise freight using own account and provide labels for dispatch if agreed ahead of time.
(c) International Orders - Any additional charges including but not limited to duties, taxes and customs charges are the responsibility of the Customer.
8. INTELLECTUAL PROPERTY
(a) All intellectual property rights of Nine Lives Bazaar remain the property of Nine Lives Bazaar and Nine Lives Bazaar’s intellectual property must not be used, distributed, reproduced, copied, licensed, or provided to any third party by the Customer without the express permission of Nine Lives Bazaar. This includes imagery provided by Nine Lives Bazaar in the lead up to a new collection launch. Nine Lives Bazaar allows for Customers to post imagery/assets or provide communications inclusive of this imagery/assets to their Customers after such time as Nine Lives Bazaar has posted or communicated the same such imagery/asset.
(b) The Customer must obtain the consent of Nine Lives Bazaar prior to allowing the goods to be used for any promotional purpose.
9. RETURNS
(a) Subject to applicable law, claims in respect of faulty goods or workmanship must be made in writing to Nine Lives Bazaar within seven business days after delivery of the goods to the Customer. Claims made after seven days will not be accepted. All packaging must be retained for inspection. Nine Lives Bazaar will assess and determine each claim on an individual basis.
(b) Nine Lives Bazaar will not be liable for any damages or loss arising from any claims related to the misuse of goods by the Customer or the Customer’s own customers.
10. GOVERNING LAW
(a) This contract is governed by the law of the state of New South Wales, Australia.
11. CUSTOMER
(a) The Customer must notify Nine Lives Bazaar in writing within seven days of any alteration of trading name or ownership, or the issue of legal proceedings against the Customer for winding up, or the appointment of any provisional liquidator, liquidator, receiver manager or administrator or any other event or circumstance in connection with the insolvency or potential insolvency of the Customer.
(b) The Customer agrees that it will be liable for any goods supplied to the new owner, or related parties, until such written notice of change has been received and approved by Nine Lives Bazaar.
12. WARRANTIES
(a) Customer warrants that it has the authority to transact the business referred to in this agreement.
(b) Customer warrants that, at the time of making an order, Customer is in no financial difficulty and can comply with these terms and conditions.
(c) Customer has read and agrees to the terms and conditions.
13. TERMINATION
(a) Nine Lives Bazaar may at its absolute discretion, terminate or suspend the Customer’s ability to purchase goods without reason, and may refuse (at its discretion) to accept an order from the Customer and Nine Lives Bazaar will not be liable to the Customer for the non-supply of goods.
14. PERSONAL PROPERTY SECURITIES ACT
(a) If Nine Lives Bazaar determines that this Agreement (or a transaction in connection with it) is or creates a security interest for the purposes of the PPSA, the Customer grants a security interest to Nine Lives Bazaar in the goods as security for the performance by the Customer of its obligations under this Agreement (the Obligations). This clause and each security interest created under this clause is a continuing security for the payment, observance and performance by the Customer of the Obligations until all Obligations have been discharged and satisfied. The Customer agrees upon request to do anything at its sold cost (such as obtaining consents, completing, signing and/or producing documents and supply information) which Nine Lives Bazaar considers necessary for the purposes of (a) ensuring that the security interest is enforceable, perfected and otherwise effective; (b) enabling Nine Lives Bazaar to apply for any registration , or give any notification, in connection with the security interest so that the security interest has the priority required by Nine Lives Bazaar; and (c) enabling Nine Lives Bazaar to exercise rights in connection with the security interest.
(b) The Customer acknowledges and agrees that, to the maximum extent permitted by the PPSA, Nine Lives Bazaar need not give any notice to the Customer pursuant to the PPSA, including without limitation any notice of the receipt of a verification statement in relation to the security interest.
(c) In Australia (a) the Customer shall not, without written consent of Nine Lives Bazaar, disclose, or authorise the disclosure of, information of the kind mentioned in section 275 of the PPSA to any third party; and (b) the Customer agrees that Nine Lives Bazaar need not comply with, and Customer may not exercise rights under any provisions of Chapter 4 of the PPSA that may be contracted out of. In New Zealand, the Customer waives and may not exercise rights under any provisions of Part 9 of the PPSA that may be contracted out of.
15. THIRD PARTY
The Customer must not use any third party resellers to sell Nine Lives Bazaar product, without prior written consent.
